Delaware LLC renewal
Delaware LLC renewal
Delaware LLCs (and LPs/LLPs) are required to pay a flat annual franchise tax of $300 by June 1st each year. The filing/payment window generally opens on January 1st.
Unlike corporations, Delaware LLCs are not required to file an annual report. This annual tax applies to domestic Delaware LLCs and many foreign LLCs registered in Delaware, as well as inactive entities that haven't been formally dissolved.
All Delaware entities must maintain a registered agent with a Delaware street address. Failure to maintain a registered agent or pay taxes can lead to a change in status from good standing to void/canceled.
Missing the payment deadline incurs a $200 late fee plus interest at approximately 1.5% per month, in addition to losing good standing and risking administrative cancellation. If an LLC loses good standing or is canceled, reinstatement requires filing specific documents and paying all back taxes, fees, and any required forms through the Delaware Division of Corporations.
Payments are handled via the Division of Corporations online portal (corp.delaware.gov). Many businesses utilize registered agents or compliance services for these tasks.
Practical guidance for Delaware LLC renewal: 1) Confirm entity status and deadline: Verify your entity's status on the Delaware Division of Corporations site and note the June 1st deadline for tax payment. 2) Budget & pay early: Plan to pay the $300 tax early in the filing window (which opens January 1st) to avoid last-minute issues.

Maintain registered agent
Ensure your registered agent information is current and update it via the Division of Corporations if necessary.
If late or canceled
Obtain a statement of good standing or delinquency from the Division of Corporations, calculate outstanding taxes, penalties, and interest, and follow the Division's instructions for reinstatement. 5) Coordinate federal tax filings: Remember that Delaware state renewal is separate from federal tax filings (e.g., Form 1065, 1120, 1120-S, or Schedule C).
Use a compliance system/service
For managing multiple entities, consider using a registered agent with compliance alerts or a compliance automation platform.
