Most US-based e-learning business owners that formed their LLCs in the United States are exempt from BOI reporting to FinCEN under the March 26, 2025 interim final rule. You do not need to file BOI with FinCEN for a domestic U.S.-formed LLC as of the IFR.

However, if your e-learning business is a foreign entity registered to do business in the U.S., you may still have to file BOI — check the registration date and applicable exemptions. Even if exempt, collect and retain the BOI data internally and follow best practices so you can respond quickly if rules change or you lose an exemption.
