As of the current date (2026-01-03), U.S. LLCs formed via Stripe Atlas (domestic Delaware LLCs formed in the U.S.) are exempt from BOI reporting to FinCEN under the March 26, 2025 interim final rule.
Therefore, they generally do not need to submit BOI reports. However, foreign entities that have registered to do business in a U.S. state continue to be subject to BOI reporting, and non-U.S. parent entities may have obligations.
Founders should document ownership, monitor for legal changes, and consult legal/accounting counsel for specific situations (for example, if the company’s structure changes or if it is a foreign-formed entity registered in the U.S.).
